All orders and agreements shall only be legally binding if they are confirmed in writing by the Contractor and signed by the company and shall only be binding to the extent specified in the order confirmation. The Client's terms and conditions of purchase are hereby excluded for the legal transaction in question and the entire business relationship. 2.1. Delivery is made at the expense and risk of the client, unless the client pays a separately charged transport and insurance cost contribution for delivery free of charge.
2.2. Partial deliveries are possible.
2.3. With regard to packaging, the conditions stated in point 3.1 apply.
2.4 Complaints about transport damage must be made by the client to the transport company and contractor immediately upon receipt of the goods.
2.5 Storage measures that become necessary for reasons that lie with the client will be taken into account At the expense of the client and are considered delivery.
2.6 Place of fulfillment for delivery and payment is the contractor's place of business.<\/p><\/div><\/div><\/div>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

3.1 The prices mentioned do not include transport and packaging and do not include sales tax. This will be invoiced to the client additionally.
3.2 The contractor is entitled to charge the list prices valid on the day of delivery. If the invoice price increases by more than 7% compared to the contract price, the client has the right to withdraw from the order without mutual claims for damages.<\/p><\/div><\/div><\/div>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

4 Liefertermine<\/h5>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

Der Auftraggeber ist bestrebt, die vereinbarten Liefertermine möglichst genau einzuhalten. Wird der angegebene Liefertermin um mehr als 30 Tage überschritten, ist der Auftraggeber berechtigt, nach Setzung einer weiteren, mind. 90-tägigen Nachfrist mittels eingeschriebenen Briefes vom Vertrag zurückzutreten. Der Auftragnehmer kann zurücktreten, wenn die Lieferung durch höhere Gewalt, Arbeitskonflikte oder sonstige, durch den Auftragnehmer unabwendbare Hindernisse, wie beispielsweise Transportunterbrechungen oder Produktionseinstellungen, unmöglich wird. In beiden Fällen ist der Auftragnehmer nur zur zinsenfreien Rückerstattung empfangener Anzahlungen verpflichtet.<\/p><\/div><\/div><\/div>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

5 Zahlung<\/h5>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

5.1 Die Rechnungslegung erfolgt soweit möglich umgehend nach Lieferung.
5.2 Die vom Auftragnehmer gelegten Rechnungen inklusive Umsatzsteuer sind spätestens 8 Tage ab Fakturendatum ohne jeden Abzug und spesenfrei zahlbar. Für Teilrechnungen gelten die für den Gesamtauftrag festgelegten Zahlungsbedingungen analog.
5.3 Bei Aufträgen, die mehrere Einheiten umfassen, ist der Auftragnehmer berechtigt, nach Lieferung jeder einzelnen Einheit oder Leistung Rechnung zu legen.
5.4 Die Einhaltung der vereinbarten Zahlungstermine bildet eine wesentliche Bedingung für die Durchführung der Lieferung bzw. Vertragserfüllung durch den Auftrag- nehmer. Bei Zahlungsverzug werden Verzugszinsen im banküblichen Ausmaß verrechnet. Bei Nichteinhaltung zweier Raten bei Teilzahlungen ist der Auftragnehmer berechtigt, Terminverlust in Kraft treten zu lassen und übergebene Akzepte entsprechend fällig zu stellen.
5.5 Der Auftraggeber ist nicht berechtigt, Zahlungen we- gen nicht vollständiger Lieferung, Garantie- oder Gewährleistungsansprüchen oder Bemängelungen zurückzuhalten.<\/p><\/div><\/div><\/div>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

6 Eigentumsrecht<\/h5>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

6.1. Die gelieferten Komponenten und Zubehörteile bleiben bis zur restlosen Bezahlung (einschließlich Zinsen und Kosten) uneingeschränktes Eigentum des Auftragnehmers. Der Auftraggeber hat für diese Zeit für die ordnungsgemäße Instandhaltung (Wartung und Reparatur) auf seine Kosten zu sorgen. Verpfändungen oder Sicherungsübereignungen vor restloser Bezahlung gelten als ausgeschlossen.
<\/span>6.2. Kommt der Auftraggeber seinen Verpflichtungen aus dem Vertrag nicht ordnungsgemäß nach, so ist der Auftragnehmer jederzeit berechtigt, sein Eigentum auf Kosten des Auftraggebers zurückzuholen und der Auftraggeber zur Herausgabe verpflichtet.<\/span><\/p><\/div><\/div><\/div>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t

7 Guarantee<\/h5>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

7.1 Any warranty service requires a separate written agreement. A guarantee commitment on the part of the contractor is in any case tied to the conclusion of a maintenance contract for maintenance and repairs in accordance with the contractor's applicable conditions. Such a maintenance contract forms a separate legal transaction.
7.2 Any guarantee provided by the contractor does not extend to those units and parts that wear out as a result of normal use and must be replaced regularly.
<\/span>7.3 Defects must be reported to the contractor in writing within the guarantee period immediately after the occurrence.
<\/span>7.4 Any agreed guarantee expires if repairs or changes to the guaranteed object are carried out by persons who are not part of the contractor's technical customer service are authorized or when the owner of the guaranteed object changes.
<\/span>7.5 The prerequisites for claiming the guarantee are that the client has fully complied with all obligations arising from the purchase contract, including all additional fees.
<\/span> 7.6 Warranty claims that go beyond the agreed warranty service are excluded.<\/span><\/p><\/div><\/div><\/div>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

8.1 Mängel wegen Beschaffenheit von Lieferungen sind in Fällen gesetzlicher bzw. vereinbarter Gewährleistung innerhalb von 30 Tagen nach Empfang der Ware im Lieferort schriftlich dem Auftragnehmer mitzuteilen. Bei termingerechter und gerechtfertigter Mängelrüge leistet der Auftragnehmer nach seiner Wahl jeweils ab Geschäftssitz kostenlose Mängelbehebung, kostenlosen Ersatz oder Gutschrift gegen Rückstellung der bemängelten Ware bzw. Stücke. Sonstige Mängelfolgen sind ausgeschlossen.
8.2 Der Auftragnehmer übernimmt keine wie immer geartete Haftung bzw. Schadensvergütung für Schäden, Kapital- und Zinsverluste, die durch Komponentenfehler und\/oder Störungen, Lieferzeitüberschreitungen sowie durch Lieferzeit bei Ersatzteilen entstehen, ausgenommen in Fällen von Vorsatz oder grober Fahrlässigkeit. Eine Haftung für Folgeschäden ist in jedem Fall ausgeschlossen.
<\/span>8.3 Rücksendungen beanstandeter Ware bedarf des ausdrücklichen vorherigen Einverständnisses des Auftragnehmers und erfolgt auf Kosten und Gefahr des Auftraggebers.<\/span><\/p><\/div><\/div><\/div>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

All agreements regarding software services (organization, programming and system software) are subject to the conditions of the contractor's software contract and in each case constitute separate legal transactions.<\/p><\/div><\/div><\/div>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

The client must, at his own expense, provide a room with a power connection that meets the contractor's specifications in good time before delivery of the item. If desired, the contractor will help the client to prepare the installation site properly by providing expert advice against reimbursement of costs. The client must also check the suitability of the transport routes from the house entrance to the installation site and, if necessary, establish them at his own expense. The installation and storage conditions must be observed.<\/p><\/div><\/div><\/div>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

Unless otherwise agreed, the legal provisions applicable between full-time merchants apply. For any disputes, the local jurisdiction of the relevant court for the contractor's place of business is agreed.
